  • 1. Scope of application

The following general conditions of sale govern the relationship between Biotools B&M Labs, S.A. (hereinafter "Biotools") with its clients (hereinafter "Client") under which the Client acquires Biotools products. The Client expressly declares to know the terms of this agreement.

  • 2. Prices

The price quoted for Biotools products shall be understood as the net price excluding VAT and does not include any other taxes that may be imposed by the State.

The order amount to be paid by the Client shall be as stated in the Order Confirmation. Biotools reserves the right to modify the prices established in already approved orders as a result of circumstances that require such modification.

  • 3. Minimum orders

There is no minimum order requirement, although there may be minimum order restrictions depending on the country of destination so that the shipping or administrative costs, if any, are free. Check the conditions when placing your order.

  • 5. Payment terms

Payment terms for Spain: Unless agreed otherwise in writing by the parties, the purchase price must be paid within 30 days of the invoice date, and the order shall be received within 24 or 48 hours after placing the order. In the event of late payment, Biotools shall accrue a 2% (two percent) late payment interest for each month of delay. Payments must be made by bank transfer to the following account or by credit card. Payment terms for all other countries: By credit card and bank transfer. Once the transfer has been made, you must send the receipt via e-mail to orders@biotools.eu and the order will be automatically sent based on the availability described in each product.   • 6. Delivery Terms

The products shall be delivered within the timeframe specified in each of them. In the event an order is made up by products with different delivery dates, the delivery date of the product with the longest delivery date shall prevail. In the event of a delay in the delivery, Biotools shall send information concerning the new estimated delivery date to the Client. Biotools reserves the right to deliver partial orders due to the availability of the products at any time. The delivery address shall be the one set as preferred by the Client at the time of registration unless the Client specifies a different address. For orders shipping outside Spain, the Client shall have the option to use the account of their regular Courier. If not specified, Biotools shall process the order with its own carrier. The shipping cost shall be borne by the Client and will be stated before the order confirmation. For orders shipping within Spain (except Balearic Islands, Canary Islands, Ceuta and Melilla) the shipping costs shall be free for orders above 200€ (VAT not included). In the event that the product order does not reach a net amount of 200€ (excluding VAT), an additional amount of 20€ (excluding VAT) shall be invoiced as shipping costs. Shipping VAT will be 21%. For products that require cold storage, the Client must state on the order form any event that may prevent pick-up on the specified date, such as: Absence, city or bank holiday, etc... and they shall expressly state an alternative delivery date, except weekends and Mondays. Biotools shall not be held liable for failure to pick-up goods for such reasons. The Client shall be responsible for ensuring that the products are suitable for the intended application before placing the order. Biotools shall not be held liable for purchases of inappropriate products, and there shall be no right to return the goods. Biotools shall not be liable for damage to the goods resulting from improper storage. The Client must comply with the storage instructions provided on the packaging.

  • 7. After-sales service

  • 8. Withdrawal

The Client has the right to withdraw from this contract within 14 calendar days without the need to justify the decision. The withdrawal period shall expire 14 calendar days after the date stated on the delivery note. In order to exercise the right of withdrawal, the Client must notify Biotools B&M Labs S.A. of its decision to withdraw from the agreement by means of a clear statement sent by e-mail to orders@biotools.eu or by fax to 91 505 31 18. The Client may use the withdrawal form template found in the following link: Standard withdrawal form. If the Client makes use of this option, the reception of their request shall be notified as soon as possible. In order to meet the withdrawal period, sending the notification concerning the exercise of this right before the corresponding period expires shall suffice. In the event of withdrawal by the Client, all payments received, including delivery costs (with the exception of additional expenses resulting from the Client's choice of a delivery method other than the least expensive method of ordinary delivery that we offer) shall be returned to the Client without undue delay and in any event no later than 14 calendar days from the date on which we are informed of its decision to withdraw from this agreement. We shall proceed to make such refund using the same payment method used by you for the original transaction, unless the Client has expressly provided otherwise. In any event, you shall not bear any costs as a result of the refund. We may withhold the refund until we have received the goods, or until the Client has provided proof of the return of the goods, whichever condition is fulfilled first. Biotools shall make arrangements with the Client to collect the goods within 14 calendar days from the date on which the Client notifies us of its decision to withdraw from the agreement. The Client shall bear the direct cost of returning the goods. The Client shall be liable for the decrease in value of the goods resulting from improper handling to establish the nature, characteristics, and functioning of the goods. The following goods shall not be eligible for return: Goods made according to client and user specifications or clearly customised. Goods that may deteriorate or expire rapidly. Goods that need to maintain the cold chain The supply of sealed goods which are not suitable for return due to sterile conditions and which have been unsealed after delivery. The supply of goods which, considering their nature and after delivery, have been irrevocably mixed with other goods. In the case of an agreement for the provision of services - when they are not packaged for sale in a limited volume or in specified quantities - if you have requested that the provision of services starts during the withdrawal period, you shall pay us a proportional amount to the part of the service already provided at the time you notified us of your withdrawal, in relation to the entire purpose of the agreement.

  • 9. Warranty

In the event of a product defect, the Client shall have up to 30 days from reception date to inform Biotools in writing, indicating the following information: Delivery note number, product reference and batch, and the reason for the claim. Biotools reserves the right to request the results of the tests carried out on the product from the Client. Biotools shall check the Client's claims within 72 hours. In the event that Biotools agrees, the Client will be able to choose to either receive a refund or a replacement of the goods, provided that the amount of the order has been paid. Biotools guarantees that its products shall comply with the specifications described in the product's user manual for the product's warranty period as long as the Client complies with the usage specifications.

  • 10. Documentation

Biotools shall make available to the Client the documentation necessary for the proper use of the product. This documentation shall be supplied in paper form together with the product or, if applicable, the Client may download it from the website www.biotools.eu. The documentation provided is owned by Biotools, the Client may not copy, reproduce, or share it with third parties.

  • 11. Force Majeure

Either party shall be relieved of liability for the performance of its contractual obligations, except for the payment of sums due, for any reason beyond the control of the affected party provided that the affected party uses all means at its disposal to avoid or eliminate the non-performance cause. The following shall be considered causes beyond the control of the respective party: Acts of God, events caused by legal requirement, compliance with requests, recommendations, regulations, provisions of any governmental authority or any agent, department or entity thereof, floods, storms, earthquakes, fires, war, revolts, insurrections, accidents, quarantine restrictions, strikes, disputes with workers, delay or lack of transportation, shortage of raw materials, and other circumstances of a similar nature.

  • 12. Partial invalidity

In the event that one or more of the foregoing clauses are declared void, the remaining general conditions shall still be in force.

  • 13. Data protection

The processes described in these conditions of sale have considered the provisions set out in the General Data Protection Regulation (GDRP), EU Regulation 2016/679, concerning the protection of natural persons with regard to the processing of personal data and their free circulation, as well as the Organic Law 15/1999 on the Protection of Personal Data in force, it is hereby informed that by signing this contract. The Client expressly authorises their personal data to be included in a processing activity record called "CLIENTS" owned by BIOTOOLS B&M LABS S.A.., in order to manage this contractual relationship, whose data will be maintained for the duration of the contractual relationship. The data will be kept blocked for the periods required by law to meet any liabilities once the contractual relationship has ended. The Client/Interested Party may exercise their rights of access, rectification, erasure, limitation, portability, and objection by contacting BIOTOOLS B&M LABS S.A. Calle Valle de Tobalina 52, Nave 39, 28021 Madrid, Spain and including a photocopy of their identity document. In addition, the interested party is hereby informed of the possibility of exercising any claim regarding data protection before the Spanish Data Protection Agency, Calle Jorge Juan nº 6, 28001, Madrid.

  • 14. Jurisdiction

The parties, expressly renouncing any other jurisdiction that may correspond to them, agree to submit any disputes that may arise regarding the interpretation and fulfilment of this document to the Courts and Tribunals of Madrid.
